These Terms of Service (the “Terms”) govern your access to and use of NexBundle (the “App”), provided by [LEGAL ENTITY], CNPJ [CNPJ], located at [ADDRESS]. By installing or using the App, you (the “Merchant”) agree to these Terms.

1. Acceptance of the Terms

By installing, accessing or using the App through your Shopify store, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not install or use the App.

2. Description of the service

NexBundle is a “buy together / cross-sell” application embedded in the Shopify admin. It lets you define product relationships (a main product and companion products) and display them together on your storefront, with configurable layout and styling. It also provides aggregated impression / click metrics.

The App requests only the read_products scope and uses Shopify’s standard cart endpoint (/cart/add.js) on the storefront.

3. Accounts and Merchant responsibilities

You are responsible for maintaining an active and compliant Shopify store, for the accuracy of the products and relationships you configure, and for ensuring that your use of the App complies with applicable law and with Shopify’s terms and policies.

You are responsible for the content you display through the App and for any support attachments you upload.

4. Plans, billing and free trial

The App is offered under subscription plans (Essential / Pro / Enterprise), billed monthly, and may include a free trial.

All charges are processed through Shopify Billing. By subscribing, you authorize Shopify to bill the applicable fees to your Shopify account according to the plan you select. Taxes, if any, may apply.

Unless otherwise stated, fees are non-refundable except where required by law. Uninstalling the App stops future charges going forward.

5. Acceptable use

You agree not to misuse the App, including: attempting to gain unauthorized access, interfering with or disrupting the service, reverse-engineering the App, using it for unlawful purposes, or using it in a way that infringes the rights of third parties.

6. Intellectual property

The App, including its software, design and trademarks, is and remains the property of [LEGAL ENTITY] and its licensors. These Terms do not grant you any ownership rights in the App; you receive a limited, non-exclusive, non-transferable right to use it while your subscription is active.

You retain all rights to your own store content and product data.

7. Disclaimer of warranties

The App is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that it will increase your sales.

8. Limitation of liability

To the maximum extent permitted by applicable law, [LEGAL ENTITY] shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the App. Our aggregate liability shall not exceed the amounts you paid for the App in the twelve (12) months preceding the event giving rise to the claim.

9. Termination

You may terminate these Terms at any time by uninstalling the App from your Shopify store. Upon uninstall, Shopify sends the shop/redact webhook (approximately 48 hours later) and we delete the data associated with your store, as described in the Privacy Policy.

We may suspend or terminate your access if you breach these Terms or use the App in a harmful or unlawful manner.

10. Changes to the Terms

We may modify these Terms from time to time. Material changes will be reflected by updating the “Last updated” date at the top of this page. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

11. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. Any dispute arising from these Terms shall be submitted to the courts of [JURISDICTION / VENUE], Brazil, to the exclusion of any other, however privileged.
